1. Acceptance of Terms

Welcome to https://hcaigov.com (the "Site"), operated by Human-Centric AI Governance, LLC ("we," "us," "our," or "the Company"), a Limited Liability Company formed under the laws of the State of Wyoming, United States.

By accessing or using the Site, you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, please do not access or use the Site.

These Terms govern your use of the Site only. Engagement of our consulting services is governed by a separate written Master Services Agreement and Statement of Work executed between you (or your organization) and the Company.

2. Site Purpose and Scope

The Site exists for informational and lead-generation purposes. Specifically, the Site is intended to:

  • Describe the services offered by Human-Centric AI Governance, LLC
  • Provide background information about the Company and its principal consultant
  • Enable prospective clients to schedule an initial consultation
  • Communicate general information about AI governance, regulatory compliance, and related topics

Use of the Site does not create a consulting relationship, contract, or any other professional relationship between you and Human-Centric AI Governance, LLC. A consulting relationship is established only upon execution of a written engagement letter (Master Services Agreement and Statement of Work) signed by both parties.

3. Content Disclaimers

The information provided on the Site is subject to the following important disclaimers:

3.1 General Informational Purposes Only

All content on the Site is provided for general informational purposes only. Nothing on the Site constitutes legal advice, regulatory advice, medical advice, financial advice, or professional advice of any kind. The information is not a substitute for engaging a qualified professional to address your specific situation.

3.2 No Consultant-Client Relationship

Reading content on the Site, scheduling a consultation, or otherwise interacting with the Site does not create a consultant-client relationship between you and Human-Centric AI Governance, LLC. A consulting relationship is established only upon execution of a signed written engagement (Master Services Agreement and Statement of Work).

3.3 No Guarantee of Outcomes

Human-Centric AI Governance, LLC does not guarantee any specific outcomes from consulting engagements. AI governance, regulatory compliance, and risk management involve numerous factors outside our control, including but not limited to: client implementation of recommendations, changes in applicable law, third-party vendor behavior, and evolving industry practices.

3.4 Currency of Information

AI governance, privacy law, healthcare regulation, and related fields evolve rapidly. Site content is current as of the publication date but may not reflect the most recent regulatory developments, case law, or industry guidance. We make reasonable efforts to keep content current but do not guarantee that all information on the Site is up to date at the time you view it.

4. Acceptable Use

You agree to use the Site only for lawful purposes and in a manner consistent with these Terms. You agree NOT to:

  • Use the Site in any way that violates applicable federal, state, local, or international law or regulation
  • Engage in any activity that interferes with or disrupts the Site or the servers and networks connected to the Site
  • Attempt to gain unauthorized access to any portion of the Site, related systems, or networks
  • Use any automated system (including 'robots,' 'spiders,' 'offline readers,' or scrapers) to access the Site in a manner that sends more request messages to our servers than a human can reasonably produce
  • Use the Site to transmit malicious code, harmful content, or content that infringes the rights of others
  • Use the Site to harass, abuse, or harm another person or organization
  • Submit false, misleading, or fraudulent information through the consultation booking form
  • Impersonate any person or entity, or misrepresent your affiliation with a person or entity

5. Intellectual Property

5.1 Site Content

All content on the Site, including but not limited to text, graphics, logos, images, design, and the compilation of these elements, is owned by Human-Centric AI Governance, LLC or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.

5.2 Limited License to Use

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal, non-commercial informational purposes. This license does not permit you to:

  • Reproduce, distribute, publicly display, or publicly perform Site content beyond brief excerpts for non-commercial reference purposes
  • Modify, adapt, or create derivative works based on Site content
  • Reverse engineer, decompile, or otherwise attempt to extract source code from any aspect of the Site
  • Remove or alter any copyright, trademark, or other proprietary notices on the Site
  • Use Site content for commercial purposes without prior written permission

5.3 Trademarks

"Human-Centric AI Governance" is a common law trademark and trade name of Human-Centric AI Governance, LLC. The Company's name, logo, and brand identity are proprietary. You may not use them without prior written permission.

6. Third-Party Links and Services

The Site may contain links to third-party websites, services, or resources (including but not limited to LinkedIn, Calendly, and Google Meet for scheduled consultations). These third-party services are not under our control. We provide these links and integrations as a convenience and do not endorse, warrant, or assume responsibility for:

  • The content, accuracy, or reliability of any third-party website or service
  • The privacy practices of any third-party website or service
  • Any products, services, or information offered by third parties
  • Any damages or losses caused by your interaction with third-party websites or services

Your interaction with any third-party website or service is governed by that third party's terms and privacy policy, not these Terms. This Site uses CookieYes (Cyrus Digital Ltd, UK-based) to display a cookie consent banner and record visitor cookie preferences. 7. No Payment Processing Through the Site

Human-Centric AI Governance, LLC does not accept payments through this website. All consulting engagements are paid via direct invoice through our business banking provider. No credit card, banking, or other payment data is collected, processed, or stored by this website. Any payment instructions will be provided separately through the executed Master Services Agreement and invoices issued under it.

8. Consultation Scheduling

The Site provides a scheduling tool (Calendly) for prospective clients to book an initial consultation. Please note:

  • The initial consultation is complimentary and is intended to discuss potential engagement
  • Scheduling a consultation does not constitute acceptance of any engagement
  • Scheduling a consultation does not create a consultant-client relationship
  • Information shared during the consultation is governed by our Privacy Policy and, where applicable, by a Mutual Non-Disclosure Agreement executed at or before the consultation
  • We reserve the right to decline any consultation request or proposed engagement at our sole discretion

9. Limitation of Liability

To the maximum extent permitted by applicable law:

9.1 Disclaimer of Warranties

THE SITE AND ALL CONTENT ON IT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

Human-Centric AI Governance, LLC does not warrant that:

  • The Site will be uninterrupted, secure, or error-free
  • The Site will meet your requirements or expectations
  • Any information obtained through the Site will be accurate, complete, or current
  • Any defects in the Site will be corrected

9.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HUMAN-CENTRIC AI GOVERNANCE, LLC, ITS OFFICERS, EMPLOYEES, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE.

This limitation applies regardless of the legal theory under which damages are sought, including but not limited to breach of contract, breach of warranty, tort (including negligence), product liability, or any other legal theory, even if Human-Centric AI Governance, LLC has been advised of the possibility of such damages.

9.3 Maximum Liability Cap

IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF HUMAN-CENTRIC AI GOVERNANCE, LLC ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE EXCEED ONE HUNDRED UNITED STATES DOLLARS ($100).

This limitation is independent of any other liability cap that may apply to a specific consulting engagement under a separately executed Master Services Agreement.

10. Indemnification

You agree to indemnify, defend, and hold harmless Human-Centric AI Governance, LLC, its officers, employees, contractors, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Site in violation of these Terms
  • Your violation of any applicable law or regulation
  • Your violation of any third party's rights, including intellectual property rights
  • Any false, misleading, or fraudulent information you submit through the Site

11. Termination of Access

We reserve the right to suspend or terminate your access to the Site at any time, without notice, for any reason, including but not limited to violation of these Terms. Sections of these Terms that by their nature should survive termination (including but not limited to Intellectual Property, Limitation of Liability, Indemnification, and Governing Law) shall survive any termination.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms and any disputes arising from them or from your use of the Site shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles.

12.2 Jurisdiction and Venue

You agree that any legal action or proceeding arising out of or related to these Terms or your use of the Site shall be brought exclusively in the state or federal courts located in Sheridan County, Wyoming. You consent to the personal jurisdiction of these courts and waive any objection based on inconvenient forum.

12.3 Informal Resolution

Before initiating any formal legal proceeding, you agree to attempt in good faith to resolve any dispute by contacting us at [email protected] and allowing us a reasonable opportunity (at least 30 days) to address the matter.

13. Privacy

Your privacy is important to us. Information about how we collect, use, and protect personal information when you use the Site is described in our Privacy Policy. The Privacy Policy is incorporated into these Terms by reference.

14. Changes to These Terms

We may update these Terms from time to time to reflect changes in our practices, applicable law, or for other operational reasons. When we make material changes, we will:

  • Update the 'Effective Date' at the top of these Terms
  • Post the updated Terms on the Site

Your continued use of the Site after changes become effective constitutes acceptance of the updated Terms. We encourage you to review these Terms periodically.

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with the Privacy Policy and any executed Master Services Agreement (if applicable), constitute the entire agreement between you and Human-Centric AI Governance, LLC regarding your use of the Site, and supersede any prior agreements between you and the Company relating to the subject matter herein.

15.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining Terms shall otherwise remain in full force and effect.

15.3 No Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent. Human-Centric AI Governance, LLC may assign these Terms at its sole discretion without notice.
